Headline
UK Plc delivered no profit warnings but two live public-M&A situations dominated the tape, with HWG going unconditional and VSVS confirming a 549p RHI approach.
What UK Plc said today
No profit warnings. The clearest downgrade was TGP, which guided H2 adjusted EBITDA "broadly similar to the second half of 2025" citing slower-than-anticipated near-term volume growth despite FY26 revenue up more than 20%. Against that, upgrades outnumbered downgrades: SNWS said FY2026 results will exceed market expectations after a record £3m Men's FIFA World Cup collectables contribution; HUW raised its capital return to 24p (from 20p) as 2024 and 2025 Lloyd's years-of-account profit forecasts nudged higher; MTEC carried its August upgrade into full results, with FY27 revenue guided to £63–66m and contracted backlog now c.£115m.
In-line reaffirmations came from BAG (c.10% revenue growth, 15% margin), BILN (record order book, £42m of new data-centre contracts announced post-period), EBQ ("on track to meet or exceed" profit expectations), NIOX (H2 stronger on NIOX PRO® rollout and Japan reimbursement), and BMS (H1 revenue +16% on chartering volatility).
Two stress signals stand out. KEFI disclosed a fatal security incident at Tulu Kapi on 4 September, suspending development and triggering material going-concern uncertainty tied to a US$240m debt facility. MATD confirmed PetroChina ordered a September production shut-in at Block XX — management called the ongoing oil-sales delay "beyond frustrating." UKR flagged two sites damaged by missile strikes, EBRD covenant breaches under restructuring, and refused to give guidance.

Themes
M&A pricing UK small/mid-caps well above screens. HWG's 187p Peel bid went unconditional at 52% acceptance, with delisting flagged above 75%. VSVS disclosed a 549–551p RHI Magnesita approach (470p cash + stock), the fourth iteration since September 2025, now with Cevian's irrevocable behind it — a firm-intention deadline sits on 27 October. TRB confirmed a 111p possible cash offer from Jenzabar with the same 27 October PUSU. Combined with TBTG's £20m accelerated buyback and EKF's completed 21.1m-share programme, the tape reads as capital being pulled out of listed UK equity by both trade and treasury.
Data-centre and public-sector digital demand is where the growth prints are. BILN tied its confidence explicitly to £42m of new data-centre work; MTEC cited a £40m four-year UK government contract as its largest ever. Contrast with consumer-facing BAG (soft-drinks strong, cocktail solutions –17%) and SUS (property bridging margins pressured by London/South-East house prices down 1.5%).
Going-concern language is clustering in small-cap resources and post-Soviet exposure: KEFI, UKR, EPP, TERN, ASHI all carry material-uncertainty flags in today's filings — a reminder that the AIM funding backdrop remains binary for pre-revenue names, several of whom (VUL/Molecule, TAR, SEED, TEK, MATD, SALT) had to raise or convert this cycle.
