Informa unveils a £2.24bn transformative acquisition of Clarion Events alongside a £940m equity raise, dominating a day of M&A and capital activity.
What UK Plc said today
No profit warnings landed, and the strongest signal is a cluster of positive trading updates alongside one clear downgrade. CKN called trading in August and September "very strong," citing record freight rates on geopolitical complexity and setting new guidance of underlying pre-tax profit of "not less than £135m" for FY26. NBB posted a record quarterly NFI at £3.5m (vs £2.9m), flagging a positive outlook into 2027. SNX reaffirmed guidance at the top end of its £3.7–4.1m adjusted EBITDA range. TEP said multiservice customer growth annualised above 11%, ahead of its 10% target. FIL reported revenue up ~11% to ~£5.9m on 6% enrolment growth.
Against this, CLBS lowered guidance materially: H1 revenue -11.5% to $9.2m, with FY27 revenue now expected at $20.0–20.5m (vs $23.6m prior) and an adjusted pre-tax loss of $2.8–3.0m against a $0.2m profit last year. The language — "continued lack of consistency" — is unusually candid.
The capital action tape was heavy. INF announced the £2,240m acquisition of Clarion Events, part-funded by a c.£940m equity raise admitting 8 October. FOX is acquiring five Canadian gold properties for ~£296k in a transformative deal diluting c.10% of enlarged share capital. AET agreed a $15.20m upfront acquisition of Etu Energias blocks with up to $6.74m contingent. KMR confirmed a possible cash offer from International Resources Holdings (PUSU 17 November). AVCT placed £12.5m at 68p to extend runway into Q2 2027.
Results were skewed to closed-end funds. FEML delivered NAV total return of +92.3% vs MSCI EM +48.2%, with the five-year conditional tender not triggered; dividend lifted to $0.33 from $0.26. SJG reported NAV per share total return of 41.2% vs benchmark 29.3%, dividend up to 13.34p from 11.43p, with the Schroders/Nuveen transaction effective 1 October 2026.

Policy / monetary
HMT used UK Digital Assets Week to signal continued engagement with digital asset regulation, and separately confirmed the UK's first digitally native government bond is "moving closer to market" — a concrete step on DLT-based sovereign issuance. HMT also published three statutory guidance updates covering tariff quotas, MFN rates, and import duty suspensions under the post-EU customs regime. [BoE] published the September Money Markets Code Sub-Committee minutes — procedural, no policy signal.
Themes
Freight and B2B events ride geopolitics. CKN attributes record freight rates to "ongoing geopolitical complexity," while INF's £2.24bn Clarion deal doubles down on live B2B events — two very different businesses leaning into the same post-pandemic, high-dispersion global demand picture.
Closed-end funds in rude health. FEML (+92.3% NAV TR) and SJG (+41.2%) both outran benchmarks decisively, both lifted dividends, and both avoided tender triggers. The signal is less about managers and more about EM and Japan beta delivering in 2026.
Guidance dispersion within small-caps. CLBS cutting hard while CKN, NBB, SNX and TEP all beat or reaffirm — tone is bifurcating around execution quality rather than any shared macro drag.
