BT BT.A agrees transformative rescue of TalkTalk at ~£400m FY27 cash cost; Ithaca ITH bolts on US$860m Canadian offshore position.
What UK Plc said today
No profit warnings in the operating universe. The strongest signals come from trading updates and M&A. Quartix QTX nudged guidance higher, flagging ARR up £0.9m in Q3 and adjusted PBT now "modestly ahead" of market expectations on cost savings — tone "ahead", backed by "very strong cash generation". Sigma Capital-style landlord Sigma Roc/Supermarket REIT peer Sirius SRE printed 11.3% rent-roll growth YoY with resilient SME tenant demand, calling the model "robust" against a difficult bond and equity backdrop. EnSilica ENSI delivered the day's cleanest fundamental story: FY26 revenue +53% to £27.8m, swing to £5.9m EBITDA (from zero) and net cash of £0.7m (from £6m net debt), with FY27 guidance reaffirmed and ~80% of revenue already covered — anchored by a $75m German tier-one automotive contract and two European satellite ASIC wins worth $50m+ from 2030. Gross margin, however, slipped to 35% from 40% as NRE design (+155%) outpaced higher-margin product supply. Capital actions dominated the tape: BT BT.A announced a transformative acquisition of TalkTalk and PlatformX on a debt-free basis, flagging c.£400m FY27 cash impact including a c.£60m trading loss and c.£100m non-receipt — framed as protection of "critical national infrastructure" for 2.5m customers. Ithaca Energy ITH signed a transformative US$860m upfront deal with Suncor for Offshore East Coast Canada assets, with up to US$250m oil-linked contingent, targeting 140–150 kboe/d medium-term output. M.P. Evans MPE launched a £3m buyback citing "advantageous levels". Smaller cap: TEAM TEAM bought Hedley & Co for up to £3m (plus £2m EBITDA-linked earn-out); Milton Capital MII remains suspended pending RTO of Swiss telecoms firm Apostrophy AG.

Themes
- Transformative M&A at the top of the market cap. Two "transformative" deals landed on the same day — BT BT.A and Ithaca ITH — both framed as scale/continuity plays rather than financial engineering. BT's deal is distress-driven (TalkTalk rescue), Ithaca's is strategic diversification. The common thread is boards willing to deploy material cash in a soft equity tape.
- Dispersion between tone and detail in results. Where numbers are disclosed, trading is firm: QTX ahead of expectations, SRE +11.3% rent roll, ENSI +53% revenue with FY27 largely pre-sold. The absence of profit warnings in the operating universe is itself a signal.
- Buyback and premium-NAV issuance point to disciplined capital allocation. MPE buying back on weakness, OIT issuing £119m of equity at a premium to NAV — both opposite sides of the same discipline.
- Microcap recycling. SNT formally ended the SMCC distribution talks and paused the COF/b.grn strategic review; MII remains suspended pending RTO; AGT completed the AVI disposal to Pacific. Housekeeping, not signal — but worth noting the clean-up volume.
