Milton Capital Plc (MII) — Investment Research Note
Executive summary
Milton Capital is a London-listed cash shell (SPAC) formed in 2021 that has spent three years searching for a reverse takeover target, culminating in a September 2026 non-binding term sheet with Apostrophy AG / Punkt Tronics, a Swiss data-privacy / mobile-OS technology business. The company has no operating business, has burned cash steadily (FY25 loss £378k on cash of £390k), and its listing is now suspended pending completion of the proposed acquisition. The single most important point for valuation today is that the shares are effectively an option on the Apostrophy deal completing at the proposed £6m+ raise valuation — with 219m shares in issue at 0.22p, the shell is being carried at ~£0.5m, and completion (or failure) will determine essentially all shareholder value.
Fair value estimate
- Fair value range: 0.15p – 0.35p per share (implied market cap £0.33m – £0.77m).
- Methodology: NAV / cash-shell valuation with an option-value overlay for the pending Apostrophy transaction. Pre-deal there is no operating business to model; post-suspension there is no observable market price.
- Assumptions:
- Last disclosed cash (31 Jul 2025): £262,711 2025-10 interim.
- Post-period placing (Aug 2025): £149,500 gross 2025-08 placing.
- April 2026 fundraise: 81.6m shares admitted at implied ~£0.005/share ≈ £0.4m gross (extrapolated from prior placing price × new-share count) 2026-04 TVR.
- Cash burn ~£150k per half-year post cost cuts 2025-10 interim.
- Net cash approaching announcement plausibly £0.4–0.6m, offset by transaction costs.
- Downside anchored on residual NAV per share if the deal fails (~0.15p, assuming further burn).
- Upside anchored on completion at the target £6m raise valuation, which — depending on the finally agreed price and dilution from newly issued consideration shares to Apostrophy holders — would re-rate the existing 219m shares to ~0.3–0.5p if legacy holders retain a small minority stake. The very wide dilution range means we cap the upside conservatively.
- Vs. current market cap of £0.5m: essentially in line. Absolute upside/downside: ~+14% to –32% (mid ~ –9%).
Sector context
- Sector: Financials / Financial Services — classified as a "shell company" on the Official List, which is technically correct pending the RTO. Post-completion the business would migrate to Technology (Software & Computer Services).
- Quality/growth/leverage profile vs. peers: not comparable — there is no operating business. Balance sheet is net cash but tiny; there is no revenue, no product, no earnings.
- Listed peers: other London-listed cash shells searching for an initial transaction, e.g. Aquis-listed shells, or SPAC-style vehicles such as Hamak Gold, Silverwood Brands (pre-deal), and various UK Listing Rule shell-category names. There is no true peer comparable.
Investment thesis
- Optionality on a live RTO with a recognisable European tech brand. Apostrophy/Punkt is an established Swiss business with a mobile OS and hardware focused on data sovereignty and cybersecurity — a real target rather than a paper deal, with a £6m concurrent raise contemplated at completion 2026-09-04 proposed acquisition.
- Cash-shell hygiene has improved. Overheads have been "radically reduced", a revised remuneration policy is in place, and a placing at a premium to market (11% above mid) suggests continuing insider support 2025-10 interim; 2025-08 placing.
- Clean starting point for shareholders. No debt, no legacy liabilities, no operating business to write down — legacy holders are exposed to whatever value the SPA ultimately delivers, with FCA prospectus review providing a partial governance backstop 2026-09-04 proposed acquisition.
Key risks
- Deal execution risk is enormous. The 2026-09 announcement is explicitly non-binding; the exclusivity period runs only to 30 Nov 2026, and completion is conditional on DD, Swiss tax/legal review, FCA prospectus approval, a Rule 9 waiver, and the £6m fundraise. A prior 12-month exclusivity with Horizon Energy lapsed 2026-09-04; 2025-06 lifting of suspension.
- Dilution at completion is likely to be severe. Consideration will be settled in new shares issued to Apostrophy holders "at a valuation to be agreed", plus £6m+ of new equity — legacy holders will own a small minority 2026-09-04.
- History of failed transactions and shrinking cash. Board admits "over 50 energy sector opportunities" screened without consummation; cash has fallen from £960k (Jan-23) to £263k (Jul-25), forcing a placing at a nominal valuation 2026-09-04 chairman comment; 2025-10 interim; 2025-08 placing.
Operating leverage
Not meaningfully assessable — the company has no revenue, no gross margin, no capacity utilisation. Its cost base is ~100% fixed administrative expense (LSE fees, advisory retainers, director fees) totalling £376k FY25, reduced to a run-rate of ~£300k after the mid-2025 cuts 2025-10 interim. Any operating-leverage discussion has to wait for the target's financials to be disclosed in the prospectus. Post-RTO, if Apostrophy is a genuine software/OS business, one could imagine high operating leverage from a fixed engineering base scaling into enterprise privacy customers — but the filings disclose no revenue, no gross margin, no ARR, no customer count, and no unit economics for the target. Score on this driver is therefore anchored at "unknown" defaults, not a bull-case guess.
Value-trap signals
- Repeated multi-year failure to consummate an RTO despite two exclusivity agreements.
- Cash burn without offsetting progress; two dilutive placings at £0.005 to keep the shell alive.
- Director founder (Edward Dawson) resigned June 2025 2025-06 notice of AGM.
- Placing structure with Chairman Richard Mays subscribing then immediately reselling 6.4m shares to sophisticated investors under FPO exemption — legal, but a signal of how narrow the shareholder base is 2025-08 placing.
- The chairman's own commentary acknowledges "AI has made things particularly difficult for the energy sector" — the search pivoted away from its original mandate out of necessity, not conviction 2026-09-04.
Earnings vs. expectations
There is no earnings history to evaluate — the company is a SPAC with no revenue and losses that are essentially predictable overhead. Management has not issued formal financial guidance, but its stated timeline expectations have consistently slipped: the 2022 prospectus contemplated an initial transaction within a defined window, the Horizon exclusivity was extended and then lapsed (Oct 2024 → May 2025), and the Apostrophy HoT is non-binding with a Nov 2026 backstop that is unlikely to hold precisely. On the narrow metric of "does the company deliver what it said it would when it said it would" the pattern is one of consistent slippage.
Conviction
Conviction: 2 — low. The valuation is anchored to cash-shell NAV plus an option, and both components sit inside wide bands.
- Supporting: NAV floor is well-disclosed via IFRS interims; share count is confirmed by the April 2026 TVR (211.5m, now ~219m); the RTO announcement is public and detailed.
- Limiting: the target's financials are undisclosed; the SPA valuation and dilution ratio are unagreed; the deal may not complete at all; the market cap of £0.5m implies a bid–offer that is essentially noise on a suspended stock.
