Headline

UK Plc kicks September with a wave of PE-led take-privates — Bodycote, Gamma and Capricorn all recommend offers totalling >£3bn on the same day.

What UK Plc said today

No profit warnings, but the day's dominant signal is a coordinated burst of M&A. BOY recommended a 940p cash offer from Veritas Capital valuing equity at ~£1,640m (EV ~£1,840m), with CVC filing a Rule 2.4 possible-offer response — a live contested situation. GAMA separately recommended a 1,120p cash offer from Epiris (Bradbury Bidco), £1,015m equity value / ~£1,079m EV. CNE agreed a US$5.214/share cash deal with DNO (US$396m / £292m), giving DNO an Egyptian core region alongside the North Sea and Kurdistan. Alongside these, ENRG agreed a $134m US liquid-storage disposal, and MKA closed the €8m Heraeus Amloy rare-earth recycling deal — deal appetite is broad-based, not concentrated in one sector.

Trading updates skewed positive. DIA materially raised guidance, saying FY27 adjusted PBT will be "significantly ahead" of prior expectations with a new 15%+ H1 return-on-sales target and Q1 sales "comfortably" ahead of the 3-5% range. GRP issued a new positive HEPS range. Against this, FIN cut guidance to ~£11m FY revenue (H1 £5.4m, -8.5%) citing "persistent macroeconomic headwinds" lengthening sales cycles.

Interim results were mixed but disciplined. AT. posted +1.1% revenue with 25.0% adjusted EBITA margin (down from 27.3%), reaffirmed FY guidance, and leaned on Europe (+7.5%) to offset a 30.4% Asia-Pacific slide. MBH delivered "resilient" -9.5% revenue but expanded gross margin 340bps to 37.0% and reaffirmed FY26 adjusted EBITDA within the £12.9-14.3m consensus range, with UK brick despatches down ~9%. PEN returned to positive EBITDA (£0.5m vs £1.1m loss), reaffirmed the ≥£13m FY target and flagged a potential C$35m Canadian DND contract — though a going-concern material uncertainty remains. LEND flagged a c.£14m non-cash Channel Islands write-down and structured a new Somerston liquidity line at BoE base +450/725bps. FUM revenue was flattered by a £1.40m Haleon settlement; underlying was £0.21m.

Capital return continues at scale: BNZL launched a £500m buyback (first £250m tranche by 22 Dec 2026) and BWY completed a further £75m tranche.

Statistical releases

  • ONS Mergers and acquisitions involving UK companies: Apr–Jun 2026 (plus time series) — Q2 M&A data lands on the exact day multiple large take-privates are announced; useful context for whether today's activity extends a Q2 trend.

Policy / monetary

Nothing material from [BoE]. HMT issued only a procedural Chiltern Hundreds appointment for Sir Keir Starmer — the standard mechanism for a sitting MP to resign; politically notable, macro-immaterial.

Themes

  • PE take-private cluster: BOY, GAMA and CNE all recommend cash offers on the same session, with BOY already contested by CVC. Sponsor appetite for UK-listed mid/large caps is intensifying — the ONS Q2 M&A release provides the empirical backdrop.
  • Guidance dispersion: DIA raised, GRP positive, MBH/AT./PEN reaffirmed, FIN cut. The split tracks end-market, not macro: consumer/services holding up where niche positioning is strong; SME-facing tech (FIN) still seeing elongated sales cycles.
  • Margin over volume: MBH (-9.5% revenue but +340bps GM), AT. (margin down but ROIC still 20.5%) and PEN (loss narrowed sharply on 54% GM) all show management leaning into mix and cost, not chasing volume.
  • Recurring risk language: AT. and MBH both explicitly cite Middle East geopolitics as elevated risk — a rare verbatim overlap worth noting.
